Tether Indexer Terms of Use

The following terms and conditions (the "Indexer Terms ") govern your access to, and use of, Tether Indexer as well as the related application programming interface (the "Indexer API") and documentation, the current version of which is located at Indexer Documentation (the "Indexer Documentation"). These Indexer Terms supplement, and form part of, the Tether WDK Portal Terms of Use, the current version of which is located at WDK Portal Terms (the "WDK Portal Terms "). Accordingly, these Indexer Terms will be governed by and interpreted in accordance with the WDK Portal Terms; capitalised terms used herein but not defined shall have the meanings set out in the WDK Portal Terms. In the event of any conflict or inconsistency between these Indexer Terms and the WDK Portal Terms, these Indexer Terms will prevail, except that "Tools" will include making the Tether Indexer, the Indexer API and Indexer Documentation available to you. These Indexer Terms may be amended, changed, or updated by Tether at any time and without prior notice to you. You should check back often on the Site to confirm that your copy and understanding of these Indexer Terms is current and correct. Your non-termination or continued access or use of the Indexer API after the effective date of any amendments, changes, or updates constitutes your acceptance of these Indexer Terms, as modified by such amendments, changes, or updates.

1. Use of the Tether Indexer, Indexer API and Indexer Documentation
API Keys

In order to access features and functionality available through the Tether Indexer, you will require an authentication key (each, an "API Key"). You will be required to create an Account on the Portal to generate one or more API Keys. You acknowledge that such API Keys are our confidential information and you will not share your API Keys with any third party without our prior written consent. We may revoke your API Keys at any time without your consent.

Permitted Use

Subject to your compliance with these Indexer Terms, you may use the Tether Indexer in accordance with the Indexer Documentation. You are responsible and liable for all uses of the Indexer API that occur through access granted to you. You shall monitor the use of your Applications for any activity that violates applicable Law or any terms and conditions of these Indexer Terms or the WDK Portal Terms. You will use commercially reasonable efforts to safeguard the Tether Indexer from misuse or unauthorised access.

Licence to Indexer Documentation

We hereby grant to you a revocable, non-exclusive, non-sublicensable, non-transferable licence to access and use the Indexer Documentation solely to facilitate your development of applications that interface with the Tether Indexer and related Tools in accordance with these Indexer Terms and the Indexer Documentation (each such application, an "Application").

Supported Blockchains

The Tether Indexer enables communication with certain blockchain networks supported by Tether from time to time (each, a “Supported Blockchain”). The list of Supported Blockchains is made available in the Indexer Documentation and may be updated by Tether (including to remove any Supported Blockchain) at any time without prior notice. Supported Blockchains are not owned, controlled, or operated by Tether. Tether has no ability to reverse, modify, or delete any transaction once it has been broadcast to a Supported Blockchain. Tether makes no representations or warranties regarding the continued availability, functionality, security, or compatibility of any Supported Blockchain, or that any transaction broadcast via the Indexer API will be confirmed, processed, or recorded on any Supported Blockchain.

Open Source Libraries

From time to time, we may make available libraries that assist you with the development of Applications (the "Indexer Open Source Libraries"). The Indexer Open Source Libraries are governed by open source licences selected by us that accompany the source code, and you acknowledge and understand that it is your responsibility to review such licences carefully and to comply with the terms and conditions contained therein.

API Call Limitations

The number of calls you or your Application makes to the Tether Indexer during any given period may be limited, at our sole discretion, based on various factors including the manner in which your Application makes calls to the Indexer API and the anticipated volume of use associated with your Application.

Changes to the Tether Indexer and Indexer API

We reserve the right to change the Tether Indexer, Indexer API and Indexer Documentation at any time and without notice. You acknowledge and understand that these changes may require you to make substantial changes to your Application at your own cost and expense. It is your responsibility to review the Indexer Documentation and these Indexer Terms regularly.

Suspension or Revocation of Access

Notwithstanding the foregoing, we retain the right, at our sole discretion, to suspend or revoke your access to the Tether Indexer and any associated API Keys, at any time and for any reason, including for: (i) violation of these Indexer Terms or the WDK Portal Terms; (ii) your use of the Tether Indexer contrary to the Indexer Documentation; (iii) scheduled maintenance; or (iv) to address any emergency security concerns.

No Fees

You acknowledge and agree that no licence fees or other payments will be due under these Indexer Terms in exchange for the rights granted hereunder. You acknowledge and agree that this fee arrangement is made in consideration of the mutual covenants set forth in these Indexer Terms, including the disclaimers, exclusions, and limitations of liability set forth herein.

2. Indexer API Use Restrictions

You will not use or access the Tether Indexer or Indexer API in any way not expressly permitted under these Indexer Terms or the Indexer Documentation. Without limiting the generality of the foregoing, you will not:

  • develop any Applications that: (i) are fraudulent or misleading; (ii) infringe on any third party's intellectual property rights or rights of publicity or privacy; (iii) are defamatory, trade libelous, threatening, or harassing; (iv) contain any viruses or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system or data; (v) replicate or attempt to replace the essential user experience of the Tools or any of our other products; or (vi) otherwise violate any applicable Law;
  • use the Tether Indexer or Indexer API in any manner that may threaten the security or functionality of the Tether Indexer, Indexer API or our other Tools;
  • use the Tether Indexer or Indexer API in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any Law;
  • attempt to cloak or conceal your identity when requesting authorisation to access the Tether Indexer or Indexer API;
  • use the Tether Indexer or Indexer API to circumvent the intended features, functionality or limitations of the Tools;
  • perform any vulnerability, penetration or similar testing on the Tether Indexer, Indexer API or any other Tools or the hosted infrastructure through which they are made available without our prior written consent.
  • use or attempt to use the Tether Indexer or Indexer API to broadcast transactions to, or retrieve data from, any blockchain network other than a Supported Blockchain;
  • use or attempt to use the Tether Indexer or Indexer API to broadcast, facilitate, or process any transaction involving any wallet address that is, or that you know or have reason to believe is, subject to sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, His Majesty’s Treasury of the United Kingdom, or any other applicable governmental authority; or
  • access or attempt to access the Tether Indexer or Indexer API from any jurisdiction that is, or that you know or have reason to believe is, subject to comprehensive sanctions administered by any of the authorities listed in clause 2.7 above, including by use of a virtual private network, proxy server, or any other means to mask, disguise, or misrepresent your location. You acknowledge and agree that we may implement technical measures, including IP address blocking, to restrict access to the Indexer API from any jurisdiction or location, for any reason or no reason, and that we may update such measures from time to time without prior notice to you.
3. Monitoring Usage of API; Collection and Use of Information

You acknowledge and agree that we may monitor your use of the Tether Indexer and Indexer API and that you will not block or otherwise interfere with our monitoring. We may collect certain information through the Tether Indexer and Indexer API about you or any of your employees, contractors, or agents, including transaction amounts, transaction volumes, and other metrics relating to your use of API Keys with the Tether Indexer. By accessing, using, and providing information to or through the Tether Indexer, you consent to all actions taken by us with respect to your information in compliance with the Privacy Statement.

4. Communications and Transactions Not Confidential

Your use of the Tether Indexer and Indexer API may require the transmission of data and information over the Internet, blockchains, and public networks. Accordingly, we do not, and cannot, guarantee the confidentiality, security, or reliability of any communications made by you or your Applications through the Tether Indexer or Indexer API. You acknowledge that transactions broadcast to Supported Blockchains may be recorded on public, immutable ledgers and are visible to any person with access to those ledgers.

5. No Warranties; Limitation of Liability; Indemnities
No Warranties

THE TETHER INDEXER AND INDEXER API IS PROVIDED "AS IS" AND ON AN "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. TETHER MAKES NO WARRANTY OF ANY KIND THAT THE TETHER INDEXER, INDEXER API OR THE RESULT OF THE USE OF SUCH TETHER INDEXER OR INDEXER API WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM, OR OTHER PRODUCTS, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE. WITHOUT LIMITING THE FOREGOING, TETHER DOES NOT OWN, CONTROL, OR OPERATE ANY SUPPORTED BLOCKCHAIN AND MAKES NO WARRANTY OR REPRESENTATION REGARDING THE AVAILABILITY, FUNCTIONALITY, SECURITY, OR PERFORMANCE OF ANY SUPPORTED BLOCKCHAIN, OR THAT ANY TRANSACTION BROADCAST VIA THE TETHER INDEXER AND INDEXER API WILL BE CONFIRMED, PROCESSED, OR RECORDED ON ANY SUPPORTED BLOCKCHAIN. YOU ARE ADVISED TO SAFEGUARD IMPORTANT DATA AND TO USE CAUTION AND NOT TO RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE TETHER INDEXER, INDEXER API OR ANY SUPPORTED BLOCKCHAIN.

Limitation of Liability

IN NO EVENT AND UNDER NO LEGAL THEORY, WHETHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT, OR OTHERWISE, UNLESS REQUIRED BY APPLICABLE LAW (SUCH AS DELIBERATE AND GROSSLY NEGLIGENT ACTS) OR AGREED TO IN WRITING, SHALL ANY ASSOCIATE BE LIABLE TO YOU FOR DAMAGES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER ARISING AS A RESULT OF THESE INDEXER TERMS OR OUT OF THE USE OR INABILITY TO USE THE TETHER INDEXER OR INDEXER API (INCLUDING DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ALL OTHER COMMERCIAL DAMAGES OR LOSSES), EVEN IF SUCH ASSOCIATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In addition, to the maximum extent permitted by applicable Law, you irrevocably agree and acknowledge that no Associate assumes any liability or responsibility for any Losses directly or indirectly arising out of or related to: (i) any breach by you of these Indexer Terms; (ii) any failure by you to comply with applicable Laws; (iii) any communication, other statement or omission by any person other than Tether regarding the Tether Indexer or Indexer API; (iv) any information or materials available through the Site including the Indexer Documentation, whether originating from an Associate or any other person; or (v) any negligent or intentional acts or omissions by you, or criminal or other third-party acts affecting any Associate. You hereby agree to release the Associates from liability for any and all such Losses, and you shall indemnify and save and hold the Associates harmless from and against all such Losses. To the maximum extent permitted by applicable Law, the foregoing limitations of liability, releases and indemnities shall apply whether the alleged liability or Losses are based on contract, negligence, tort, unjust enrichment, strict liability, violation of law or regulation, or any other basis, even if the Associates have been advised of or should have known of the possibility of such Losses and damages, and without regard to the success or effectiveness of any other remedies. Each Associate shall be entitled to enforce the foregoing provisions as if in direct privity under these Indexer Terms. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations of liability may not apply to you.

Indemnity in Connection with Your Use of the Tether Indexer or Indexer API

Without limiting the generality of the foregoing, you agree to indemnify and hold harmless Tether and all its Associates from and against any and all actions, Losses or related judgments of any kind or nature which may be imposed on, incurred by, or asserted against any Associate in any manner relating to or arising out of: (i) your Applications, including any end user's use thereof; (ii) your breach of applicable Laws or your representations or warranties hereunder; or (iii) your use of the Tether Indexer or Indexer API contrary to these Indexer Terms, the WDK Portal Terms, or the Indexer Documentation. Notwithstanding anything to the contrary in the foregoing, you shall not have any indemnification obligation under this clause to any Associate to the extent caused by or resulting from the bad faith, wilful misconduct or gross negligence of an Associate.
